3. Client Responsibilities

The client agrees to:

Provide accurate, complete, and timely information, content, assets, and approvals
Ensure they have rights/licenses to all materials shared with TVD
Respond to queries, approvals, and feedback within reasonable timelines
Comply with platform policies (Meta, Google, Shopify, etc.)
Ensure their business, products, and advertising comply with applicable laws

Delays caused by missing inputs or approvals may impact timelines and performance outcomes.

4. Fees, Payments & Billing

4.1 Fees
All fees are communicated upfront in proposals or contracts. Unless stated otherwise:

Fees are exclusive of applicable taxes (GST or others)
Media spend, software costs, and third-party tools are billed separately

4.2 Payment Terms

Advance payments are mandatory unless otherwise agreed
Invoices must be paid within the specified due date
Late payments may result in work suspension without liability

4.3 No Refund Policy
Payments made for services rendered, retainers, setup fees, strategy work, or ad management are non-refundable, unless explicitly stated otherwise in writing.

5. Performance & Results Disclaimer

Sales
Revenue
Leads
ROAS
Rankings
Conversion rates

Marketing performance depends on multiple external factors such as:

6. Advertising Platforms & Third-Party Services

6.1 Platform Policies
Clients acknowledge that advertising platforms (Meta, Google, etc.) operate independently and may:

Reject ads
Disable accounts
Change algorithms or policies
Restrict industries or creatives

TVD is not liable for platform actions beyond its control.

6.2 Third-Party Tools
Use of third-party tools (analytics, CRMs, hosting, plugins, SaaS platforms) is subject to their respective terms. TVD is not responsible for downtime, data loss, or policy changes of such tools.

7. Intellectual Property Rights

7.1 Agency IP
All strategies, frameworks, methodologies, templates, processes, and know-how used by Tripping Vibe Digital remain our intellectual property unless otherwise agreed.

7.2 Client IP
Upon full payment:

Final approved creatives, designs, and assets created specifically for the client may be used by the client for their business
Drafts, unused concepts, internal documents, and working files remain TVD property unless transferred explicitly

7.3 Portfolio Rights
TVD reserves the right to showcase work, results, logos, and case studies for marketing and portfolio purposes unless restricted in writing.

8. Confidentiality

Both parties agree to maintain confidentiality of:

Business information
Financial data
Login credentials
Strategies and proprietary materials

Confidential information shall not be disclosed to third parties without prior written consent, except where legally required.

9. Data Protection & Security

TVD follows reasonable industry practices to protect client data
Clients are responsible for securing their own platforms and credentials
TVD is not liable for breaches caused by third-party platforms, client negligence, or force majeure events

10. Limitation of Liability

To the maximum extent permitted by law:

TVD shall not be liable for indirect, incidental, special, or consequential damages
Liability, if any, shall not exceed the total fees paid by the client in the preceding 3 months
TVD is not responsible for loss of profits, business interruption, or reputational loss

11. Indemnification

The client agrees to indemnify and hold harmless Tripping Vibe Digital from any claims, damages, penalties, or expenses arising from:

Client’s products, services, or business practices
Copyright or trademark infringement from client-provided materials
Violation of laws, platform policies, or third-party rights

12. Termination

12.1 By Client

Client may terminate with written notice as per the agreement
No refunds for work already performed or ongoing retainers

12.2 By TVD
We reserve the right to terminate services immediately if:

Payments are delayed
Client breaches these Terms
Client engages in unethical, illegal, or abusive behavior

13. Force Majeure

TVD shall not be liable for failure or delay caused by events beyond reasonable control, including but not limited to:

Natural disasters
Government actions
Platform outages
Internet or infrastructure failures

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.
